So, there's this company, and it is operated by a guy who has had the balls to tackle what is arguably the most difficult crisis to hit our markets for 50 years - and he has taken pains to try to clearly articulate that there is a massive problem with the clearing and settlement system, so much so that it could destabilize the economy.

He has done slide shows a monkey could follow and understand.

He has bought hundreds of thousands of shares of his own stock, and failed to receive delivery for months - to illustrate how bad the problem is.

He can clearly demonstrate that there are millions more shares trading than there are legitimately issued shares.

His company has been on the SHO list for well over 250 days.

He is suing miscreants he claims have been engaging in stock manipulation, via their front-running bogus research reports and creating hatchet jobs.

Critical SEC personnel suddenly are hired by private sector firms closely linked to the bad guys by Dr. Byrne's own "Miscreant's Ball" presentation...

Is this a Grisham novel detailing the improbable saga of a protagonist beset by a conspiratorial system bent on destroying him? Battling a cabal of evildoers whose reach extends into the very corridors of power?

Nope.

It is real life, and it is the story of Dr. Patrick Byrne, who received a subpoena from the SEC, requesting data on not just the research firm and the like, but also about OSTK's accounting and such.

Dr. Byrne says it could be a blessing.

Yeah. Uh huh. It could.

Or it could be the latest in the farcical treatment of bad guys by the SEC - where if you steal billions on Wall Street you might have to cough up a penny on the dollar, where we see companies with a year's worth of delivery failures (like OSTK) and yet nobody does anything, where the Director of Enforcement issues subpoenas to journalists and is promptly cut off at the knees by her boss...

And now this.

What kind of travesty is this? We have companies like NFI where we KNOW that 40% or more of a day's trading was fails, and yet nobody is being investigated, we have many of the longest on the SHO list shorted by one group, we have the attorneys who invariably sue those same companies being investigated for malfeasance...and now, the short-staffed SEC can find the resources to slam the victim, but can't follow through on things like subpoenas to the journalists.

How much worse can this crap get?

I would like to know the name of the person who decided this was warranted. I would like to understand what is being investigated, and I'd like to know how badly a company has to be abused before the SEC will step in and do its job.

I may be all wrong about this, and Dr. Byrne is correct that this is an opportunity.

But I smell rat, not perfume. And my hunch is that the bad guys have gotten one of their sympathetic ears at the SEC to do some dirty work for them.

Anyone considering investing in Bolivian real estate because it is more honest than the US markets?

You aren't alone.

I smell someone's connected lobbyist making the right calls to the right folks, and helping the shorts create some liquidity by crafting a tempest in a teacup.

Anyone recall the big TASR investigation that got all the hype, and then amounted to nothing?

This is how the cartel that is gaming OSTK works - they initiate frivolous investigations in order to get headline value and damage the stock, so that everyone can cover as the panic selling starts. That's how TASR played, how NFI played, how ACAS and ALD and all the rest played.

I want to know who in Washington is driving this - I am saying right now that there was never anything there in most of those cases, and yet the regulator's role was abused to create headline value.

Wanna bet that this is EXACTLY what I predicted a year ago - a bogus regulatory probe coupled with a pile-on from the quisling journalists, and a follow-on lawsuit from the class action squeegee boys?

That they are so brazen and operate with such impunity is shocking.

I really hope I am wrong, but I suspect that the system really is this badly broke.

I guess this is a lesson to whomever would dare to speakout against this abuse. I am behind Dr. Byrne 100%. I am requesting certificates tomorrow and buying additional shares. Now I'm pissed.

I fear that the fishing trip this subpoena will result in will generate enough information for the S.E.C. to missquote ,missunderstand, and just plain lie about , to cause overstocks share price to fall.By the time the missunderstandings get cleared up the shorts will cover and the damage will be done.The S.E.C. has plenty of people who will call a profit a loss ,question the most straight foward bookkeeping and generally play dumb while yelling fire in the overstock theater .After all the worst that can happen to them is to get fired from the S.E.C. and have to go to work in the very profitable private sector job their treason has provided for them.The false 'news' of overstocks bad business practices WILL be on the front page ,the opps we were wrong and overstock is great story if it ever gets printed will be almost impossible to find.Your goverment at work people.Tea party time.Good thing we have a mad rabbit already because we are SO through the looking glass.

absolutely amazing. as you said, the SEC let REFCO go public even though the DOJ had TAPED CONVERSATIONS of the manipulators. Look at Knight Trading. Another manipulation case with their hedge fund settled with a fine. You and I would be in jail. That place is a chronic problem they seem happy to perpetuate.

It is individuals at the SEC that are making these decisions. We need to name the individuals.

If anyone knows how to do FOIA requests, we should be requesting minutes of some of the SEC meetings.

rtway,perhaps a way to turn their own statements about the validity of a problem with naked shorting in the market would be appropriate. If only loonys in tin foil hats believe in a systematic problem with the american stock market involving naked shorting , then a large demonstration of mad tin hatters would be a good one !

I still think you guys are way off base and jumping to conclusions about this subpoena. We know the SEC is already investigating Rocker regarding Byrne's allegations. All parties in the case must be subpoenaed for evidence. Including OSTK. Of course the SEC needs OSTK"s financial records and statements. How else can they determine if Gradient was issuing false or misleading analysis? The subpoena specifically states it is looking for info regarding Byrne's lawsuit against Gradient and Rocker.

It seems pretty clear to me the THIS IS WHAT THE SUPBOENA IS ABOUT. Stop the hysterics.

With all due respect, you may be right, but the press treatment of it tells me that we are not alone.

My hunch is that this was all for headline value, and there are now a bunch of hedge funds and prime brokers sitting around, scratching their heads, going, "Oh shit, it didn't do anything to the price - now what?"

Bobo,

My first reaction after seeing AH trading in OSTK roll down to $23, and then the
pre-market trading at $22, was "Oh shit, bail out!". But then the regular trading
hours commenced and the PPS hung in the $24.50-$25 range. This looks better!

Hope you have a chance to talk to Patrick and get his gut feel about all this circus,
is he really celebrating as he says in his NR or does he get the feel of being piled on?

This seems so much like another repetitive re-run of the same crooked scenario
that you first spelled out many moons ago!

I vote that the subpoena is a good thing. It shows that the SEC has collected from others enough information to know what questions to compell Overstock to answer. It is now asking that Overstock put up or shut up. As in, you say that they are liars, we see what they have to say in claiming that they are not, now, under penalty of perjury, it is your turn to make you argument that they are, in fact, liars.

Isn't there a distinction to be made here, in that to my knowledge, the SEC has not issued a Formal Inquiry notice to OSTK, but appears to be merely seeking information re another case, ie the Gradient matter. As to why they requested books and records of OSTK, it might be because they want to tie those statements into the Gradient inquiry and published reports(aka hatchett jobs) by Gradient. Could be a variety of reasons books and records were requested. The point is without a Formal Inquiry notice to OSTK, I would not jump to the conclusion this is negative for OSTK.

There are two opposing elements here. In the short term ("short term" meaing tomorrow morning) it will most likely have a negative affect on the stock price, which is exactly how the hedge funds and all of their cohorts have manipulated stocks for years, beat the price down via shortselling (naked AND legitimate), online and media bashing, and leaks of negative information (or should I say "misinformation") as much as possible, and then use some type of lame legal action to get that last 20% drop just before.....they cover, make a fortune, and move on to the next victims....to do it all over again.

On the downside (for them, anyway), giving Patrick Byrne ANY kind of platform from which to present his arguments is a huge miscalulation on the part of the SEC, and it WILL backfire on the SEC and everyone who is raping America at will. Byrne will eat them alive.

No, clearly the market will not interpret the words SEC and subpoena as a positive. See Cramer and his sale of stock before their subpoenas became public knowledge.

The SEC Formal Inquiry to Gradient et al, requires documents to make a case. Even if the documents are freely tendered, the SEC attorneys will issue a subpoena in a CYA mode. Just about all discovery is via subpoenas. Legal malpractice if not.

"Bob" this is the best thing that could happen. Now all the available relevent fact are in the hands of the sec. We can't fret about such trivial things as the price of a stock when the lads are being preped to be drawn and quartered. I'm sure that there will be much ado spread about this but all the real shares of overstock are in the hands of those who will not be spooked. Just have to let the cornered rat thrash about as it dies.

I don't see why so many of you (esp you, Bob) are jumping on this as a negative. Overstock and Byrne are not being charged with anything, to my knowledge. This subpoena seems to relate to Byrne's lawsuit against Gradient and Rocker, and is no different from Cramer and Greenberg receiving subpoenas (they weren't charged with anything, either). The purpose of the subpoena is to gather information. The likely targets are Gradient and Rocker. just as in Byrne's lawsuit.

Sure, the shorts will probably use this as an excuse to try and drive down the stock (the AH drop was done on a few 100 share trades). But Byrne is right: this is a good thing. The SEC is investigating his claims.

Unfortunately, his public statements sound a bit defensive and overly florid, as if he's protesting too much. I wish Byrne would clarify the purposes of the subpoena, and that OSTK is not being charged with anything.

Interesting how many different views on the subpoena. I for one view this as just a continuing fraud being perpetrated by Wall Street and their Regulators including the SEC. There should be no joy in Mudville over this subpoena as it proves the fix is in. A fishing expedition of many areas that are so diverse that it becomes obvious that this is just another attempt to damage the price of Overstock for the benefit of the shorts of which most of whom are illegal. This is our SEC who is doing this not someone in Russia where these tactics might be expected. We get no help from the White House or CONgress in exterminating this fraud. We are on our own now with this massively corrupt system in place and continuing to function well in fleecing every retail investor in AMERIKA. Hopefully OSTK refuses to honor this fraudulent subpoena, writes BULL across it, tells COX to shove it up his ass and forces the SEC into the court system where we have at least a slim chance of exposing this fraud.

To many heads will roll at SEC, so throw so shit at OSTK to stop squezze and buy time.. This is all good,, not for the short term and shorts will force weak longs to bail out and stock will recover.

I think Cox has built the soap box and pulpit for all to voice their opinions, not just the good Dr. I think people like Arnie Anslin, Charlie Gasparino, Leslie Stahl and many others will have a great story when the investigation turns up nothing. I think it is time to form an orchestrated campaign to celebrate this election year or lack there of. Two can play the political game. I still think Cox is a puppet and is awaiting further orders, hope I am wrong.

Well, it sure will be interesting! The SEC serving the subpoena has the look and feel of a 'set up job'. It will be interesting to see how hard CNBC, The Wall Street Journal, et al jump on this to 'promote the news'.

While I have mixed feelings, I almost hope the SEC goes in with a tough position. The time to put the toothless old dog to sleep is long overdue. Fire everyone and begin fresh after cleaning the corruption out of Congress this fall. A few NSA taps on the phones should show up the culprits in both areas.

Bobo,

I think the trick is probably to think like an SEC prosecutor/investigator, rather than as an SEC commissioner/politico. That means usually a lawyer who wants to know where all the pieces of the puzzle are, and doesn't want a surprise down the road. If the SEC is going to go to the matt prosecuting the short selling / naked shorting scams, they don't want to learn farther down the line that the company that wa being shorted really was an accounting scam than merited all the bad things the defendants were saying about it. Thus, I would guess that this subpoena is part of an overall investigative push that will cover all the bad guys very well. That fits with the fact that PB is celebrating, because he knows he has nothing to hide and the subpoena means the SEC is serious enough about the case that they do not want to be in the position of taking his word that he is squeaky clean. My guess is it still has a way to go before the SEC goes public about prosecution, but it may turn out okay. Seems to fit with what I had heard that the enforcement guys at SEC are to be taken seriously.

n-tres-ted - Take another hit off of that crack pipe! The SEC has not done anything BUT play politics with investors money. Where are the enforcements? Where are the buy-ins? All Cox had to do was pick up a phone and order them! Not going to happen whil this turd is at the SEC. Sure with enough political pressure they will come up with a new fraudulent SHO Reg to delay actual enforcement but nobody is giving back the stolen money to the investors!

I tend to agree that if the SEC wanted to solve a lot of these problems, they could just toss several pages of BS code and write something like: "All stock not delivered at T+3 must be automatically bought in. But they haven't. Instead, we have this elaborate dance, filled with self-mportant swagger and bragadaccio, wherein nothing is done differently, crime pays better than ever, and being a Wall Street bad guy is carte blanche to becoming super rich.

If crime didn't pay so fabulously well, and if the risk/reward wasn't so badly out of whack, you wouldn't have Wall Street ripping off the country. If there was mandatory prison time for committing fraud in the market, rather than wrist slaps and trivial financial penalties, we might see change.

That has yet to happen for 72 years. Don't hold your breath. The SEC is a paper tiger, and it postures and preens like an adolescent talent-contestant - but it has no teeth, and is beholden to Wall Street, carrying its bags for it.

I would love to be proved wrong.

I have yet to see a campaign that was organized to show physical presence to enforce our stand on the issues of counterfeiting shares, let alone all the other issues that have surfaced in the last 3 months. The time is right to show a force of people at a public forum to demonstate that the poipulace has voting power and financial power that the establishments need in a desperate way. The time is now, and the sooner we draw attention to the criminal activities that are intertwined with out elected officials the sooner we see results for our effoprts. Lets get some legal demonstrations going across the country at all the local SEC offices across the country, signs and agendas. Forget the elites at Washington, lets get our local goverment involved at state level. Being a pain in the ass or a person who has to be removed by incarceration usually gets the media. I,ll bite the bullet in a heart beat to save this rape of our country, who is with me. I am in the midwest. Lets do it. This is an election year and a prelude to the 2008, they are watching.

Of course the SEC is owned by Wall Street. They have never hurt any Wall Streeters yet they have destroyed countless companies/CEO's and investors.

Did they stop REFCO from going public? Do you get any satisfaction from the SEC as an investor?. They treat you like shit and you'll soon learn the treminology that they use for investors that call and complain. Derogatory to say the least.

You have to be a fucking moron not to read between the lines. Be nice to the street and get a cushy job when you leave.
